By downloading pictures and press releases from Chandler Center for the Arts Press Room, you specifically agree to abide by the Rules and Regulations set forth below as well as any modified version of the Rules and Regulations that may be posted from time to time. All references below to the "Rules and Regulations" will be deemed to refer to the Rules and Regulations as so modified from time to time by the Chandler Center for the Arts ("we" or "us") in our sole discretion. The obligation to abide by the Rules and Regulations applies not only to you but to any company or organization on whose behalf or for whose benefit you obtain information from the Chandler Center for the Arts Press Room. We reserve the right to terminate the usage rights of any user at any time.

Uses Permitted.

Members of the press may use information obtained from the Chandler Center for the Arts Press Room (the "Information") solely for purposes of reporting on programs presented by us and our constituent organizations. You shall not post, publish, transmit, reproduce, distribute or in any way use or exploit any Information for commercial purposes or otherwise use the Information in a manner that is inconsistent with the Rules and Regulations

User's Obligation to Abide By Applicable Law.

In your use of the Chandler Center for the Arts Press Room, you shall abide by all applicable federal, state or local laws, including without limitation those laws pertaining to such areas as libel, slander, defamation, trade libel, product disparagement, harassment, invasion of privacy, tort, obscenity, indecency, and copyright or trademark infringement ("Applicable Law"). The Information available on the Chandler Center for the Arts Press Room may include intellectual property that is protected under the copyright, trademark or other intellectual property laws of the United States and/or other countries ("Intellectual Property Laws"). Such Intellectual Property Laws generally prohibit the unauthorized reproduction, distribution, or performance of all text, photographic images, graphic images, music, sound samplings and other protected materials. Your violation of applicable Intellectual Property Laws may give rise to civil and/or criminal penalties.

Disclaimer of Warranties.

The Chandler Center for the Arts is provided on an "as is" basis without warranties of any kind, either express or implied, including without limitation warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose. We do not warrant that any information is complete or, that the Chandler Center for the Arts Press Room will be uninterrupted or error free, or that any information is free of bugs, viruses or defects.

Limitation of Damages.

Under no circumstances shall we or any of our constituent organizations be liable for any damages (actual, direct, indirect, incidental, special, punitive, consequential or otherwise) that may result from your use or your inability to use the Chandler Center for the Arts Press Room, including without limitation use of or reliance on information available in the Chandler Center for the Arts Press Room, interruptions, errors, defects, mistakes, omissions, deletions of files, delays in operation or transmission, non-delivery of information, disclosure of communications, or any other failure of performance.

Release and Indemnity.

You hereby release and waive any and all claims against and/or liability of us, our constituents and our or their directors, trustees, officers, agents, contractors and employees (the "Releasees") arising out of or in connection with your use of the Chandler Center for the Arts Press Room. You hereby agree to defend (by counsel reasonably satisfactory to us), indemnify and hold harmless the Releasees from and against, and to pay the full amount of, any and all claims, costs, demands, judgments, damages, fees, fines, penalties or liability, including attorneys' fees and disbursements and the costs of enforcing rights of defense and indemnification under this paragraph, which any of the Releasees may suffer, incur or pay out which arise out of or in connection with your use of the Chandler Center for the Arts Press Room and/or the Information.
